To: Customer who takes use of wareconn service (hereinafter referred to as " Customer ")

  • First of all, thank you for Customer's choice to accept the wareconn service provided by Wareconn Technology Service(Tianjin)Co.,Ltd. (hereinafter referred to as ' Corporation '), before Customer receiving the services, please read the all content of the agreement carefully. If Customer has any questions about the terms of this agreement, please contact Corporation, and Corporation will explain the terms. If Customer does not agree terms of service, or can not understand Corporation's interpretation of the terms accurately, please do not continue to take use of wareconn Service, if not, Customer must compensate for any loss of Corporation.

  • 1.Terms of Agreement

    1.1

    The wareconn service agreement is a valid contract between the two parties concerning the Customer's use of Corporation's wareconn services.

    1.2

    Customer expressly accepts this agreement of service at the end of the article by clicking on 'confirmation' of the contents of the agreement, which means that the two parties have reached this agreement and agree to accept all the contents of this agreement.

    1.3

    This Service Agreement shall remain in effect during Customer using the wareconn service until the termination of the cooperation between the two parties.

    1.4

    Corporation shall have the right to change the content of this agreement at any time. When changing any terms of this agreement, Corporation will notify the amendment to the terms and conditions of the agreement in the www.wareconn.com definitely. If Customer does not agree, the agreement will be terminated between the two parties, and in such cases, service costs will be settled, and Customer needs to backup data. If Customer continues to use the wareconn service, it shall be deemed that the Customer has accepted the amendment to the terms and conditions of the agreement.

  • 2.Definitions and Explanations

    2.1

    wareconn platform:wareconn is a B2B warranty cloud platform management system for global enterprise users. It provides a communication platform for after-sales service operation management for the warranty demand side and the warranty supply side.

    2.2

    wareconn Function: Warranty Management, Repair Services, Data Analysis, and Industrial Resources form the Warencon Warranty Cloud Platform.

    2.3

    Platform users: Including manufacturers, customers, service centers, and industrial resources (see: Industrial Resource Agreement). This agreement is only for manufacturers, customers, service center users

    2.4

    Manufacturers: Those who need to provide warranty service can register as manufacturers. Such as: brand manufacturers, distributors, agents and so on.

    2.5

    Customers: Those who have warranty service requirements can register as customers, such as warehouses, distributors, and agents.

    2.6

    Service Center: All services covering covered materials, maintenance, logistics, and supply can be registered as service centers.

    2.7
    There are three versions of the manufacturer's platform: Standard Edition, Professional Edition, and Enterprise Edition.
    (1).

    Standard Edition: Contains all functions of warranty management.

    (2).

    Professional Edition: Includes all features of warranty management and repair services.

    (3).

    Enterprise Edition: Includes all features of warranty management, repair services, and Data Analysis.

    2.8

    wareconn billing method: The platform will charge the platform registration fee, platform service costs, additional account fee and additional function fee for different roles. Besides, according to different customized function items, will charge development costs.

  • 3.Service Charge

    3.1
    Platform registration costs:
    (1).

    Payment users: Users registered as warranty providers need to pay registration fees.

    (2).

    Term of service: Calculated since the user's registration on the platform was successful, billed by years.

    (3).

    Warranty Providers need to pay for the different versions, and the specific amount will be listed on warranty provider's order page.

    3.2
    Platform service costs:
    (1).

    Payment users: The platform collects the service costs of service items under ware no. from the provider and the service center who provide services.

    (2).

    Our corporation collects the service costs of service items under ware no. after the service provided by the various industry resources on warencon platform, which are used as platform maintenance.

    (3).

    Payment period: The 12th of each month will be charged for the platform service costs for the previous month.

    (4).

    Late payment: If overdue payment 7 days, the platform will automatically delete the account and all data under the account.

    3.3
    Additional account costs:
    (1).

    Register with 5 FREE accounts. The user can add additional accounts according to the needs. The specific amount will be listed on the order page for publication.

    (2).

    Service Term: Calculated from the user's successful purchase on the platform, billed by years.

    3.4
    Development costs:
    (1).

    Payment users: According to different customized function items, will charge users with those requirements.

    (2).

    Term of service: Quotation will be based on actual situation and different categories.

    3.5
    Value-added service costs:
    (1).

    Payment users: Those who use functions other than basic function modules such as warranty management, repair services and industrial resources will be charged value-added service costs. For example, data analysis, quality analysis, intelligent result, return forecast, predictable costs, PPM, service strategy, etc.

    (2).

    Term of service: Quotation will be based on user’s different purchase needs on different functions.

    3.6
    Payment method: Currently, it supports bank transfer for payment. After the corporation confirms receipt of payment, it will open the right to use.

    3.7
    The platform has the rights to unilaterally adjust the price standards and payment conditions according to the actual situation. In order to encourage to use the features and get promotion, different users have different charges.
  • 4.Rights and Obligations

    4.1

    Customer agrees to comply with the service agreement and the relevant management specifications and processes of the service in the display page.

    4.2
    Customer Commitment:
    4.2.1

    The Customer using wareconn's service needs to obtain the license or approval of the relevant departments of the state, and shall comply with the requirements or regulations of national and local laws; if Wareconn service involves the third party software license Corporation has obtained, Customer should agree to comply with the relevant agreement between the Corporation and the third party; not to publish the following information or the content, not to release such information or provide any convenience for others:

    ①the political propaganda and the news information violated state's politic;

    ②involving state secrets and information security;

    ③the feudal superstition and obscene news, pornographic news or abetting a crime;

    ④the lottery prize, a gambling game, other illegal Internet publishing activities;

    ⑤the violation of national and religious policies and information;

    ⑥the information affected the Internet operation safety;

    ⑦the information infringed other people and damage to the society, public and morality;

    ⑧and other violations of laws and regulations, departmental rules or national policy content.

    4.2.2

    Do not to damage or try to disrupt the network security (including but not limited to fishing, hackers, phishing, web site or space containing or suspected to spread: viruses, trojans, malicious code, and suspected attacks to other sites or servers through the virtual server such as scanning, sniffing, deception, ARP DOS);

    4.2.3

    Do not engage in other behaviors illegal or violation of wareconn service terms.

    If Corporation finds that the Customer violates the terms and conditions stipulated above, Corporation shall have the right to take corresponding measures according to the circumstances, including but not limited to the immediate termination of the service, the suspension of the service or the deletion of the relevant information. If the third party or organization or individual have questions or complains, Corporation will notify the Customer, Customer is responsible to provide the description and certified materials within the specified time, if the Customer fails to provide relevant evidence or fails to feedback, Corporation will take the action, including but not limited to suspend or delete the corresponding information service immediately. Customer who fail to update their contact details or incorrect contact details are considered to be no feedback. Customers should bear all the loss of Corporation's.

    4.3

    All legal disputes arising from Customer's use of wareconn services in business activities are not related to Corporation.

    4.4

    Customer is responsible for the integrity and confidentiality of the data, the account and the password caused by Customer taking use of the wareconn services .Because of Customer's improper maintenance, all the loss and leakage of such data, passwords shall be borne by Customer.

    4.5

    In case Customer's violation of the terms and conditions stipulated in this agreement, Corporation has the right to refuse to provide wareconn service to Customer and terminate this agreement. The service costs paid by Customer will not be refunded, and the Customer shall also bear all the losses caused to Corporation.

    4.6

    Corporation shall provide services in accordance with the agreement, and ensure the sustainable operation of the service and data security. Corporation has obtained the necessary licenses and authorizations and has the right to provide Wareconn services to Customer according to the agreement.

    4.7

    Corporation will save Customer information on the server during the service period and permanently delete it after the Customer has terminated the service.

    4.8

    Corporation does not guarantee and promise to any other third parties that the page and information submitted by Customer conform to the registration standards, and Customer shall be fully responsible for the contents, products and services of its own in process of using Wareconn services.

    4.9

    Corporation reserve the right to delete any contents which is harmful for national security, pornographic, false, insulted, slandered, intimidated or harassed, infringed rights including copyright, personal rights or other legitimate rights and other interests of illegal , or contrary to public and good morals.

    4.10

    Corporation reserve the right to stop the service temporarily for the purpose of maintaining the system upgrade. Before the suspension of the service, Corporation will announce it through the website.

    4.11

    Corporation will adjust the Wareconn service standards according to the changes of the laws, administrative law enforcement organs order and social ethics.

    4.12

    Corporation commit to comply with the data confidentiality obligations of Customer strictly. Corporation knows the ownership of Customer data belongs to Customer itself clearly.

  • 5. Customer Privacy Protection

    Corporation will take all measures to protect Customer's data and personal information security, and distribute Customer information only according to the Customer instructions on the site, not share Customer's specific data to any other third party or the public.

    Corporation reserves the right to use statistical information, and the Corporation has the right to analyze Customer's databases and make commercial use of Customer's databases without revealing Customer privacy data.

  • 6.Disclaimer

    6.1

    When the Customer may not be able to use the services, Corporation are not responsible for the failure of the platform to operate under the following circumstances, including but not limited to:

    6.1.1 Check and maintain the network, system or asset of this platform;

    6.1.2 Can not transmit data for telecom asset failure;

    6.1.3 This platform system cannot provide services for the typhoon, earthquake, tsunami, flood, power failure, war, terrorist attacks and other factors of force majeure.

    6.1.4 This service interruption or delay for the hacker attacks, telecommunications technical adjustment or failure, site upgrades, bank problems and other reasons.

    6.2

    Corporation does not guarantee (including but not limited to):

    1、The Wareconn Service provided by Corporation apply to Customer's requirements completely;

    2、The interruption of Wareconn Service

    6.3

    Corporation will not be liable for any direct, indirect or incidental damages, derivative compensate if Customer have profit, business reputation, data loss or other tangible or intangible losses for the use of the wareconn service.

    6.4

    Corporation will not be liable for the online transactions incompletely or the information missing or not be recorded caused by the platform collapse or Customer using irregularly because of force majeure or other division that can not be control. But Corporation will do its best to help deal with the abnormal circumstance as much as possible and to protect Customer from financial losses.

  • 7.Intellectual property rights

    All intellectual property related to the Wareconn program, source code, LOGO, interface design, and application programming interface (API) are all owned by Corporation. Unless otherwise stated, the Website based on software copyright and patent and other intellectual property rights provided by Corporation are all owned by Corporation. The copyright or trademark rights of 'Wareconn' and 'Wareconn LOGO' used on this site and other commercial logos are all owned by Corporation. All the above and other contents of the intellectual property rights of the Website are protected by law. No one can use or do any of creative derivative works without Corporation's written permission.

  • 8.Circular

    All notices under this Service Agreement are announced on the Website page. Changes about the service terms, service changes, or announcements of other important events will be carried out in this method. Such notifications are deemed to have been served to the address at the time of the announcement.

  • 9.About Connection

    This platform may provide links to other Internet web sites or resources. Corporation are not sure whether the above Websites or resources can be used. Corporation are not responsible for any loss or damage arising from the use or reliance on the above Websites or resources.

  • 10.Dispute Resolution

    10.1 If there is any conflict between the Chinese version and English version of this agreement, the Chinese version shall be prevailed.

    10.2 The application, interpretation, execution, jurisdiction and resolution of this agreement shall be governed by the laws of the People's Republic of China.

    4.9

    Corporation reserve the right to delete any contents which is harmful for national security, pornographic, false, insulted, slandered, intimidated or harassed, infringed rights including copyright, personal rights or other legitimate rights and other interests of illegal , or contrary to public and good morals.

    4.10

    Corporation reserve the right to stop the service temporarily for the purpose of maintaining the system upgrade. Before the suspension of the service, Corporation will announce it through the website.

    4.11

    Corporation will adjust the Wareconn service standards according to the changes of the laws, administrative law enforcement organs order and social ethics.

    4.12

  • All intellectual property related to the Wareconn program, source code, LOGO, interface design, and application programming interface (API) are all owned by Corporation. Unless otherwise stated, the Website based on software copyright and patent and other intellectual property rights provided by Corporation are all owned by Corporation. The copyright or trademark rights of 'Wareconn' and 'Wareconn LOGO' used on this site and other commercial logos are all owned by Corporation. All the above and other contents of the intellectual property rights of the Website are protected by law. No one can use or do any of creative derivative works without Corporation's written permission.
